        Under the terms of the renegotiated agreement Rick's Cabaret will pay a total purchase price $21 million, payable $12 million in cash to <strong>DI Food &amp; Beverage of Las Vegas, LLC</strong>, a $5 million convertible debenture bearing four percent interest and a non-convertible promissory note for $4 million at eight percent interest. A new closing date has been set for the later of July 25, 2008 or within five business days of the date of issuance of final permits to operate the club and the assignment of the existing lease.<br>

with the new terms of the deal, which reduce the amount of cash payable at closing and shifts a greater portion of the purchase price to non-convertible debt,&quot; said <strong>Eric Langan</strong>, President and CEO of Rick's Cabaret. He said there are no apparent difficulties in obtaining the necessary regulatory approval. <br>

        Under
terms of the original agreement to purchase Scores-Las Vegas, Rick's Cabaret had agreed to pay $16 million in cash and a $5 million convertible debenture bearing four percent interest.  The agreement includes  an option to buy the property on which the Scores Las Vegas is located. <br>

        Rick's Cabaret paid $1.5 million in cash for the adult nightclub at the intersection of 10557 Wire Way  and Northwest Highway, just off busy I-35 Stemmons Freeway. The company also acquired the accompanying real estate for $6 million, paying $1.65 million in cash and financing the balance. It is the company's second acquisition in Dallas this year and the third in the Dallas-Ft. Worth &quot;Metroplex.&quot; <br>

        The new date agreed to with the sellers of the club was selected to allow for the completion of the transfer of various state and local permits. Under terms of the purchase agreement signed on April 17,
2008 the transaction was to have closed on or before June 10, 2008. No other terms of the agreement have been changed. <br>

Under terms of the agreement Rick's Cabaret will purchase Scores-Las Vegas from <strong>DI Food &amp; Beverage of Las Vegas, LLC</strong> for $16 million in cash and a $5 million convertible debenture bearing 4 percent interest.&nbsp; As part of the acquisition Rick's Cabaret also acquires an option to buy the property on which the club is located, just off the Las Vegas Strip.<br>

  Closing on the transaction is subject
to certain closing conditions, including but not limited to Rick's Cabaret obtaining adequate financing, approval by relevant regulatory authorities of the transfer of ownership in the selling entity and other conditions consistent with transactions of this type.&nbsp; As a condition of closing the sellers have agreed to demonstrate gross revenues for the preceding 12 months of at least $18.5 million and earnings before income tax, depreciation and amortization of not less than $4 million.         Rick's Cabaret will pay $1.5 million for the Platinum Club II at 2051 Northwest Highway, just off busy I35-Stemmons Freeway. The company will also acquire the accompanying real estate at a cost of $6 million, paying $1.5 million at closing and financing the balance. <br>

        Platinum Club II was recently converted to an Urban Club format. Based on post-conversion operating data, Rick's Cabaret estimates the club will add approximately $4 to $5 million in annual revenue, with earnings before income tax, depreciation and amortization (EBITDA) well within the company's current range for acquisitions. This transaction was not included in guidance the company issued in its May 8th earnings conference call.&nbsp; <br>

        The
revenue increase for the three months ended March 31, 2008 was driven primarily by new clubs in Miami and Ft. Worth, which together added nearly
$7.29 million, while organic growth from existing clubs added $609,109, an
8.24 percent increase. <br>

        The increase in net income
was primarily due to higher same-locations-same-period club sales and by revenues from the newly acquired clubs in Miami and Ft. Worth.  Income before income taxes for same-location-same-period of club operations for the quarter increased to $1.72 million, a 30.5 percent increase over the same period in 2007.<br>
        <br>
        Cash provided by operating
activities for the six months ended March 31, 2008 was $6.4 million, compared with $1.3 million for the same period in 2007. <br>

For the six months ended March 31, 2008, revenues for the company were
$26.42 million, compared with $14.6 million for the first half of 2007.  Net income was $4.39 million compared with $844,964, and earnings per diluted share for the first six months were 56 cents compared with 15 cents last year. <br>

        At the end of the second quarter the company showed $94.48 million in total assets on its balance sheet, compared with $
47.07 million at the same point last year. <br>

        Mr.
Langan noted that new clubs in Philadelphia and Dallas opening in the third quarter will add more new revenues but he cautioned that start up expenses to launch the new clubs would also be a factor in results for the period.         Total
sales at the company's 18 adult nightclubs for April were $5.1 million, a
105 percent increase over the $2.48 million recorded in April 2007. Same store sales were $2.68 million compared with $2.40 million last year, an
11.5 percent increase.

        Inc.</b> <b><font color="993300">[<font size="3"><b><font color="993300">NASDAQ-GM:</font><a href="http://finance.yahoo.com/q?s=rick&amp;d=t">RICK</a></b></font>]</font></b>, the premier publicly traded operator of adult night clubs, said today it has signed a definitive agreement to buy <a href="http://www.lvscores.com/" target="_blank"><strong>Scores-Las Vegas</strong></a>, a 25,000-square foot gentlemen's club in Las Vegas for $21 million. <br>

        Rick's Cabaret will purchase Scores-Las Vegas from <strong>DI Food &amp; Beverage of Las Vegas, LLC</strong> for $16 million in cash and a $5 million convertible debenture bearing 4 percent interest.  As part of the acquisition Rick's Cabaret also acquires an option to buy the property on which the club is located, just off the Las Vegas Strip.<br>

&quot;We are delighted that we will own a premier club in one of the most important entertainment and recreation centers in the world,&quot; said <strong>Eric Langan</strong>, President and CEO of Rick's Cabaret. &quot;Scores-Las Vegas is clearly one of the most outstanding gentlemen&rsquo;s clubs in the United States. The transaction is consistent with our target of paying three to five times earnings before income tax, depreciation and amortization (EBITDA) for existing, profitable clubs that are immediately accretive to our bottom line and have the potential to grow.&quot; <br>

Closing on the transaction is scheduled for June 10 and is subject to certain closing conditions, including but not limited to Rick's Cabaret obtaining adequate financing, approval by relevant regulatory authorities of the transfer of ownership in the selling entity and other conditions consistent with transactions of this type.  As a condition of closing the sellers have agreed to demonstrate gross revenues for the preceding 12 months of at least $18.5 million and earnings before income tax, depreciation and amortization of not less than $4 million. The company believes this acquisition will add 29 cents per share to earnings on an annual basis. <br>

The purchase would bring to 18 the number of clubs owned and operated by the company, including the recent acquisition of clubs in Philadelphia and Dallas. <br>

As part of the transaction Rick's Cabaret has also acquired two industry trade shows, two other industry trade publications and more than 25 industry websites owned by the Clearwater, FL companies. </font>
        <p><font size="2" face="Verdana, Arial, Helvetica, sans-serif">Rick's Cabaret paid $1.2 million for the publisher of <a href="http://www.exoticdancer.com/" target="_blank">Exotic Dancer</a>, <a href="http://teezemagazine.com/" target="_blank">TEEZE</a> and <a href="http://www.asbmagazine.com/" target="_blank">Adult Store Buyer</a> (<strong>ASB</strong>) magazines.  The purchase agreement provides for an additional earn-out of up to $2 million over the next three years, based on certain performance benchmarks of the media division.  <strong>Don Waitt</strong>, owner of ED Publications and a principal of the TEEZE/ASB group, joins Rick's Cabaret under a three-year agreement as President of its new media division, <strong>RCI Entertainment Media Holdings, Inc.</strong> </font></p>
        <p><font size="2" face="Verdana, Arial, Helvetica, sans-serif">At closing, Rick's Cabaret issued 21,740 shares of restricted common stock (valued at $23 per share) and paid $500,000 in cash and will pay an additional $200,000 six months after closing.  An additional 65,217 shares of restricted common stock and an additional $500,000 in cash could be paid for the earn-out if the performance benchmarks are achieved. </font></p>

The company also purchased the real estate on which the club is located at 8550 North Stemmons Freeway. </font>
        <p><font size="2" face="Verdana, Arial, Helvetica, sans-serif">The total price for the club and real estate was $9.5 million. Rick's Cabaret issued 152,082 shares of restricted common stock valued at $25 per share, for the club itself. Separately it paid $5.7 million to buy the real estate on which the club is located, through the issuance of 57,918 shares of restricted common stock and $4.25 million in cash, of which $3.64 million was loaned by a Texas bank against the acquired property, bearing interest of prime plus two percent. The stock is subject to a &quot;lock up/leak out&quot; provision governing the number of shares that can be sold in given periods.<br>

The location operated as a <strong>Penthouse Club</strong> in 2006 and had over $7 million in annual revenues. The club was closed for most of 2007 pending a legal settlement with the city. Rick's Cabaret has received a new Sexually Oriented Business permit to operate the club and is fully compliant with the current city ordinance. </font></p>
